Florida Association of Endodontists Constitution and Bylaws

Article 1. Name

The name of this organization shall be the Florida Association of Endodontists.

Article 2. Object

The object of this Association shall be to promote the advanced study of endodontics, to foster endodontic research, to study the particular problems of the endodontist who limits his practice, and to disseminate knowledge of endodontics to the general practitioner.

Article 3. Membership

Section 1. The membership of the affiliate association shall be composed of only Active and Life members of the American Association of Endodontists within the State of Florida.  All Active and Life members of the American Association of Endodontists within the State of Florida shall be eligible for active membership. No Active member of the American Association of Endodontists within the State of Florida can be excluded from active membership in this Association.

Section 2. The qualifications for membership and discipline of members by censure, suspension or expulsion are provided for in the By–laws.

Section 3. Fulltime faculty members in the specialty of Endodontics are eligible for membership.

Section 4. Membership in this Association shall be limited to Active and Honorary Members.

Article 4. Officers

The Officers of this Association shall be president, vice president, and a secretary-treasurer. The executive control of the Association shall be vested in the three officers, each of whom shall be elected for a one year term at the annual meeting and may serve no more than two consecutive terms in any office.

Article 5.

This Constitution may be amended by two–thirds vote of the members present at the annual meeting, provided the proposed amendments shall have been sent to the members of the Association at least twenty days before the proposed action.

Article 6. Relationship with the American Association of Endodontists

This Association agrees to abide by the constitution and by-laws of the American Association of Endodontists

Article 1. Duties of Officers

Section 1. The President shall preside at all meetings of the Association; he shall appoint all necessary committees and the chairman thereof; he shall have general supervision of the work of all committees, and shall have the power to remove and replace any committee members at any time for just cause, and shall perform other duties as usually appertain to his office.

Section 2. The Vice President shall arrange for the program of the annual meeting, shall be responsible for the local arrangements, and shall assist or substitute for the other officers as it may be necessary; and he shall perform the duties of the President in the event the President is unable to do so.

Section 3. The Secretary-Treasurer shall keep full and complete records of this Association including all minutes of all meetings and shall keep a correct list of the members together with other information as shall be deemed advisable.

The Secretary-Treasurer shall keep a current copy of the Constitution and Bylaws showing all amendments. He/She shall oversee all dues, assessments, and any other funds due the Association and keep an accurate account of the financial affairs of this organization. He/She shall act as custodian of all monies and financial assets of the Association and shall hold, invest or disburse same subject to the direction of the Executive Council.

The Secretary-Treasurer shall register the members at any and all meetings and shall perform such other duties as usually appertains to this office.

Article 2. Membership

Any active member of the American Association of Endodontists who fulfills the membership requirements as stipulated in Article 3 of the Constitution shall automatically be eligible for membership. Members shall have all the privileges of membership, including the right to vote at meetings, to nominate and to hold office.

Article 3. Meetings

Section 1. There shall be an annual meeting of the Association. The time and place of said meeting shall be decided upon by the membership or may be delegated by them to the Officers of the Association.

Section 2. Special meetings may be held at the call of the officers or by written petition of ten (10) active members.

Section 3. The meetings shall be for members only.

Section 4. A quorum shall consist of 10 (ten) active members provided that 20 (twenty) days notice of the meeting has been given to the membership.

Article 4. Dues

Section 1. The annual dues of this Association shall be set at each annual meeting. The dues cycle is from July 1st to June 30th and runs concurrently with the American Association of Endodontists. Dues are due July 1st and on August 1st of that year membership is considered delinquent if not paid. Membership is automatically forfeited if dues are not paid by October 1st in accordance with the American Association of Endodontists.

Article 5. Donations

Any donations, grants, endowments campaign contributions or any monies given to any other entity other than the Florida Association of Endodontists must be approved by the majority of the Officers and a majority vote of the members present at an annual business meeting.

Article 6. Amending By-laws

The By-laws may be amended by the majority of the officers and a  two–thirds (2/3) vote of the members present at the annual meeting, provided the proposed amendment shall have been presented to the membership in writing twenty days prior, but any amendment may be adopted at any annual meeting by a unanimous vote.

Article 7. Ethics and Professional Conduct

The Principal of Ethics and the Code of the Profession of the American Association of Endodontists and the American Association of Dentists shall govern the professional conduct of all members of this association.

Article 8. Termination of Membership

Each of the following is grounds for immediate termination of members:

a. Failure to maintain active or life membership in the American Association of Endodontists.
b. Failure to pay dues as required for membership in the Florida Association of Endodontists.
c. Resignation.
